‍These Terms & Conditions (the "Terms") govern your relationship with Felicitas, LLC, dba Parrot, LLC, a Delaware Company ("us", "we", "our" or “Parrot”) in relation to Parrot's online application process for candidates for a position of service provider (independent contractor) of Parrot (the “Application Process”)  accessible through this platform (the “Platform”) including such modifications and replacements thereof as Parrot in its sole discretion may from time to time implement. Please read these Terms carefully before using the Platform and continuing with the Application Process. 

By accessing or using the Platform, you agree to be bound by these Terms. If you disagree with any part of the Terms then you may not access the Platform and continue with the Application Process. These Terms are applicable only to the use of the Platform and the Application Process. After the Application Process, Parrot may in its sole discretion offer you cooperation that will be based on a separate service agreement. These Terms do not apply to any cooperation between you and Parrot after the Application Process. 

By accessing and/or using the Platform and participating in the Application Process you warrant and affirm that you: a) an individual of legal age to form a binding contract, however, at least 18 years old b) you are using the Platform for your own personal use c) have not been previously suspended or banned from using the Platform and d) have the capacity to agree to this Terms and agree to be bound by them.

‍These Terms do not constitute a binding offer of employment, service relationship or any kind of cooperation between you and Parrot and any such offer remains in Parrot's sole discretion. 

‍You may use the Platform exclusively for Application Process and no fees are due for such use of the Platform. You will not receive any compensation (monetary or otherwise) for your participation in the Application Process. Parrot shall have the right to set and change any criteria for successful completion of the Application Process. 

‍Account
‍In order to use the Platform and start the Application Process, you will be required to fill in your name, email address and country of residence. Parrot shall not use these data for any other purpose except for the Application Process and potential offer of further cooperation with you. 

You will be required to verify your email address by clicking at the activation link that you will receive to your email inbox. You are solely responsible for protecting the security of your password and you shall immediately notify us of any unauthorized use of your password or any other breach of the Platform's or your account's security. 

You may not allow other persons to log in the Platform with your login information or have another person complete the Application Process for you (especially the tests that are part of the Application Process). Otherwise Parrot may exclude you from the Application Process and ban you from using the Platform.  

Parrot will review the applications and results of any tests that are part of the Application Process and will inform you about the results as soon as practicable.

‍The Platform is provided "as is", without warranties of any kind, whether expressed or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance. 

In no event shall Parrot be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the Platform, even if Parrot has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

We do not warrant that a) the Platform will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; or c) the results of using the Platform will meet your requirements.

‍Intellectual Property

‍Subject to the terms set forth in the Terms, Parrot grants you a non-exclusive licence to use the Platform. The Platform may only be used in such a manner as necessary for the Application Process. You acknowledge that you have no right to have access to the Platform in source code form and you have no right to sub-license or assign the license and shall ensure that the Platform does not become the subject of any charge or encumbrance without the prior explicit consent of Parrot.  

You acknowledges that the Platform and Platform-related intellectual property (i.e., all existing and future trademarks, service marks, domain names and business names, rights pertaining to inventions, designs, databases and proprietary information (including, without limitation, trade secrets and know-how), copyrights, moral rights and all other assets and benefits commonly regarded as intellectual property, whether registered or not), is the sole property of Parrot. You shall not acquire any right, title, or interest in the aforesaid intellectual property or otherwise in connection with the Platform and Application Process, except for the limited rights of use expressly set forth in the Terms. Any rights not expressly granted herein shall be deemed withheld.

‍Termination

‍We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Platform will immediately cease and we reserve the right to block or prevent your future access to and use of the Platform.

‍Limitation of Liability

‍In no event shall Parrot, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Platform; (ii) your participation in the Application Process; (iii) any content obtained from the Platform; and (iv) unauthorized access, use or alteration of your transmissions or content; whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

‍Governing Law

‍These Terms shall be governed and construed in accordance with the laws of Florida, without regard to its conflict of law provisions. Courts of Florida shall have the exclusive jurisdiction over disputes arising out of or in connection with the Terms.

‍Changes

‍These Terms were last modified on July 1, 2021. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is substantial, we will try to provide at least a 30 day notice prior to any new terms taking effect. What constitutes a substantial change will be determined at our sole discretion.
